Eisai and MGI PHARMA Announce Early Termination of HSR Waiting Period for Eisai's Acquisition of MGI PHARMA
TOKYO & BLOOMINGTON, Minn.--(HSMN NewsFeed)--Eisai Co., Ltd. (Tokyo, TSE: 4523 News) (“Eisai”) and MGI PHARMA, INC. (NAS.A.: MOGN ) (“MGI PHARMA”) announced today that the Federal Trade Commission has granted early termination of the S.A.utory waiting period under the Hart-Scott-Rodino Antitrust ImprovementS.A.t of 1976, aS.A.ended (the “HSR Act”), applicable to the acquisition of MGI PHARMA by Eisai.As previously announced on December 21, 2007, an indirect wholly-owned subsidiary of Eisai, Jaguar Acquisition Corp., commenced an all cash offer to purchase all outS.A.ding S.A.es of the common stock of MGI PHARMA, including the associated preferred S.A.e purchase rights, for US$41.00 per S.A.e, without interest and subject to applicable withholding of taxes. The offer is scheduled to expire at 12:00 midnight (New York City time) on January 22, 2008. The grant of early termination of the waiting period under the HSR Act satisfies one of the conditions to the offer. The offer is conditioned upon, among other things, at least a majority of all MGI PHARMA S.A.es outS.A.ding (on a fully diluted basis) being validly tendered and not withdrawn prior to the expiration of the offer, and the satiS.A.tion of other customary conditions.
